Genius Group has outlined a five-year capital plan targeting an $827 million Bitcoin treasury and an $800 million AI investment portfolio as it seeks to grow total assets to $2 billion by fiscal 2031.

The figures are long-term targets rather than current holdings. Genius plans to restart Bitcoin purchases in the fourth quarter of 2026 and is preparing an initial $12.5 million preferred-securities offering to help fund its Bitcoin and AI strategies.

Genius Targets Initial $12.5M Preferred Offering

Genius plans to raise capital through perpetual preferred securities using its existing $1.2 billion SEC-registered shelf.

The company is initially targeting a $12.5 million offering. Proceeds would be split between Bitcoin purchases, AI investments and a U.S. dollar reserve covering about 18 months of preferred dividend payments.

Genius has begun discussions with investment banks, but the dividend rate, issue price, offering size and timing remain undecided and subject to board approval and market conditions.

Bitcoin Purchases Planned to Restart in Q4 2026

Genius adopted a Bitcoin treasury strategy in November 2024 before later selling its holdings. It now plans to resume purchases in the fourth quarter of 2026 and scale the treasury toward $827 million over five years.

The target does not represent an immediate $827 million Bitcoin purchase. Future acquisitions will depend on Genius raising additional capital through its wider financing program. The company reported $106.6 million in net assets in August and said it had no third-party debt.

AI Portfolio Targets $800M by Fiscal 2031

Genius launched its AGI Infinity Portfolio in May with plans to deploy up to $100 million initially across AI-related investments. The company ultimately aims to grow the portfolio to $800 million while keeping it below 40% of total assets.

The immediate next step is the proposed $12.5 million preferred offering. Genius has not disclosed when the securities will launch or how the initial proceeds would be divided between Bitcoin and AI investments.
