Circle CFO Jeremy Fox-Geen to Step Down by End of 2026

Circle Internet Group (NYSE: CRCL) Chief Financial Officer Jeremy Fox-Geen plans to step down after more than five years in the role. He will remain CFO through the end of December unless Circle appoints a successor sooner. The transition comes more than a year after Circle completed its 2025 initial public offering, which initially priced 34 million shares at $31 each.
Circle Begins Search for New CFO
Fox-Geen informed Circle on Sept. 25 that he intends to leave the CFO position. The company has hired an executive search firm to help identify his replacement.
Circle said his departure did not result from any disagreement with the company’s operations, policies, or practices. Fox-Geen joined Circle in May 2021 and helped build its finance organization as the USDC issuer expanded and prepared to become a public company.
Fox-Geen Helped Lead Circle Through IPO
Circle’s June 2025 IPO initially involved 34 million Class A shares sold at $31 each, representing about $1.05 billion in gross offering value. After underwriters exercised their full overallotment option, the total offering increased to 39.1 million shares and about $1.2 billion in gross proceeds to Circle and selling shareholders.
Circle later reported approximately $583 million in proceeds after underwriting discounts and commissions, before deducting $12.8 million in offering costs. Existing shareholders sold another 19.2 million shares for which Circle received no proceeds.
CFO Says It Is Time for a Break
Circle CEO Jeremy Allaire credited Fox-Geen with helping guide the company through periods of market volatility and growth. Fox-Geen said he plans to take time away before deciding on his next role.
“Having achieved many milestones, it is now the right time for me to step down and take a break before my next chapter.”
Circle Sets Transition Terms
Fox-Geen will continue receiving his current $500,000 annualized base salary while serving as CFO. He also remains eligible for his 2026 annual incentive award and continued vesting of outstanding equity awards.
After his resignation date, Circle will provide $1.05 million in cash payments over 12 months. His restricted stock units will receive two additional months of accelerated vesting, and the post-termination exercise period for his outstanding non-qualified stock options will be extended by 12 months. Circle has not yet named a successor.
